Storehub.io Reseller Agreement and Commission policy

Definitions

Storehub: refers to My Webspace (Pty) Ltd (registered in South Africa as 2011/135298/07), trading as “Storehub.io” or just “Storehub”

Reseller: refers to any party that refers business to Storehub, with an aim to earn commission.

Clients: businesses who sign up for Storehub services as a result of a direct referral by a Reseller.

ERP: Enterprise Resource Planning systems, more commonly referred to as accounting systems which are either hosted on a cloud server, or offline at Client premises.

Sales Channels: online sales platforms, e.g. direct-to-consumer (retail) as well as business-to-business (B2B) ecommerce stores hosted on Shopify, WooCommerce, Ecwid, Storehub, etc

Integration Services: services supplied by Storehub to Clients to sync data to/from their ERP/Accounting system and their Sales Channels

Commissionable Services: refers to items invoiced out to Clients on a monthly recurring basis, and is limited to “integrations” i.e.the integration with the Client’s ERP/Accounting software (the “Source”), or sync integrations with one or more “sales channels” (i.e. retail or B2B sales platforms). Commissionable Services therefore exclude any one-off billable items, or other non-integration recurring services including but not limited to support retainers, backup and security solutions, digital marketing services, or any add-on features like sales agents, contract pricing etc.

Good Standing: commission will only be paid on commissionable services which are paid for in full.

Initial Commission Term and Initial Commission Rate: is the period and rate at which Storehub will pay commission before falling back to the Lifetime Rate. See summary below.

Lifetime Commission Term and Lifetime Commission Rate: is the rate at which commission will be paid after the Initial Commission Term has run out. See summary below.

Summary: Resellers will earn commission at 20% for the first 12 months of a customer, and at 10% thereafter for the duration of the customer’s subscription.

Terms

  1. By referring Clients to Storehub, you accept the terms and conditions as outlined on this page.
  2. Storehub reserves the right to amend these terms and conditions from time to time, to adapt to changing market conditions and operational considerations.
  3. Storehub is not obliged to remind Resellers to ask for commission.
  4. Resellers should invoice Storehub on a monthly basis (Tax Invoice) for commissions earned in the previous month.
  5. Resellers can request to be notified monthly of the commissionable services they can claim for.
  6. If Resellers fail to invoice for commission and wish to catch up, they will be limited to claiming commission for the most recent 3 months. Any unclaimed commissions older than 3 months will be forfeited.
  7. Resellers will be advised on amounts to bill by the 25th of each month based on Commissionable Services in the previous month. Reseller should send their Tax Invoice to accounts@storehub.io by the 3rd of the following month. Payment will be made by EFT before the 10th of the same month.

Termination Clause

Either party may terminate this Reseller Agreement with 30 days written notice to the other party. Upon termination, Storehub will cease paying further commissions to the Reseller, except for commissions earned prior to the termination date, which will be paid in accordance with the existing commission payment terms. Any outstanding invoices for commissions submitted by the Reseller prior to the termination date will be processed and paid as per the agreed schedule.

Independent Contractor Status

The Reseller is an independent contractor and not an employee of Storehub.

Non-Exclusivity

The agreement is non-exclusive, meaning Storehub can work with other Resellers, and Resellers may have similar agreements with other providers of similar services.

Client Ownership

Clients belong to Storehub in the context of all the integration services that Storehub provides.

Limitation of Liability Clause

Storehub’s entire liability under this Reseller Agreement shall be limited to the commission due and payable to the Reseller as explicitly defined within the terms of this policy document. Storehub shall not be liable for any consequential, indirect, incidental, special, punitive, or exemplary damages suffered by the Reseller, arising out of or in connection with the actions or inactions of Storehub, its employees, or agents, even if Storehub has been advised of the possibility of such damages.

Dispute Resolution Clause

In the event of any dispute arising out of or in connection with this Reseller Agreement, the parties agree to first seek resolution through mediation, which shall be conducted in Cape Town, Western Cape, South Africa, or via electronic means of teleconferencing. The mediator shall be mutually agreed upon by both parties. If the dispute is not resolved through mediation within 30 days of the commencement of the mediation process, either party may then pursue other available legal remedies.
